service, you confirm that:

→ You have the legal authority to enter into a binding 
  agreement on behalf of yourself or your organisation.

3.1 All services provided by RegeneX AI are subject 
to a separate written agreement or Statement of Work 
(SOW) agreed upon by both parties prior to 
commencement.

3.2 RegeneX AI reserves the right to decline any 
engagement at its sole discretion without providing 
a reason.

3.3 The scope, timeline, and deliverables of each 
engagement will be defined in the relevant SOW or 
proposal document. Any changes to agreed scope must 
be requested in writing and may result in revised 
fees or timelines.

3.4 RegeneX AI will perform all services with 
reasonable skill and care, in accordance with 
industry best practices.

4.1 All fees for RegeneX AI services will be outlined 
in the relevant proposal or SOW.

4.2 Invoices are due within 14 days of the invoice 
date unless otherwise agreed in writing.

4.3 RegeneX AI reserves the right to pause or 
suspend work on any engagement where payment is 
overdue by more than 14 days.

4.4 All fees are exclusive of applicable taxes unless 
otherwise stated. The client is responsible for any 
taxes applicable in their jurisdiction.

4.5 Refunds are not provided for work already 
completed or in progress unless otherwise agreed 
in writing.

5.1 All original work, reports, frameworks, 
strategies, and deliverables created by RegeneX AI 
specifically for a client engagement become the 
property of the client upon receipt of full payment.

5.2 RegeneX AI retains ownership of all proprietary 
methodologies, tools, templates, and background 
intellectual property used in delivering services.

5.3 RegeneX AI reserves the right to reference the 
engagement (in general terms, without disclosing 
confidential information) in its portfolio, case 
studies, or marketing materials, unless the client 
has requested confidentiality in writing.

5.4 All content on the RegeneX AI website — 
including text, graphics, logos, and research 
publications — remains the sole property of 
RegeneX AI and may not be reproduced without 
prior written consent.

6.2 RegeneX AI will not disclose client data, 
business information, or strategic materials to 
any third party without prior written consent, 
except where required by law.

6.3 This confidentiality obligation survives the 
termination of any service agreement.

The client agrees to:

→ Provide accurate and complete information 
  required for the engagement.
→ Respond to requests for feedback, approvals, 
  or information in a timely manner.
→ Ensure all materials shared with RegeneX AI 
  do not infringe any third-party rights.
→ Make payments in accordance with agreed terms.

RegeneX AI is not liable for delays or reduced 
quality of output caused by the client's failure 
to meet these responsibilities.

8.1 RegeneX AI's total liability to the client 
for any claim arising out of or in connection 
with a service engagement shall not exceed the 
total fees paid by the client for that specific 
engagement.

8.2 RegeneX AI is not liable for any indirect, 
incidental, consequential, or punitive damages 
including but not limited to loss of revenue, 
loss of data, or loss of business opportunity.

8.3 RegeneX AI does not guarantee specific 
marketing outcomes, ROAS targets, or business 
results. All research and strategy recommendations 
are based on available data and professional 
judgement at the time of delivery.

9.1 Either party may terminate a service engagement 
by providing 14 days written notice.

9.2 In the event of termination, the client is 
responsible for payment of all work completed 
up to the termination date.

9.3 RegeneX AI reserves the right to terminate 
an engagement immediately if the client breaches 
these Terms and Conditions or acts in a manner 
that is unlawful, abusive, or harmful.

10.1 This website is provided for informational 
purposes only. All content is accurate to the 
best of our knowledge but may be subject to change.

10.2 You must not use this website:
→ In any way that violates applicable laws 
  or regulations.
→ To transmit unsolicited communications.
